Please read these Terms of use ("Terms") keenly before using Prime Engine Go's website which explains the terms of use by which ("Prime Engine Go") powered by Nimble Beez Information Technology L.L.C provides to User, as Transporters and Shippers, access to its website https://primeenginego.com/ (the "Site") and all its associated platforms.

Prime Engine Go provides digital brokerage and scheduling services to link Shippers with Transporters and contracted Transport vendors respectively for over the road freight transportation, whereby Shippers can post a request for the transportation of their freight ("Shipment") to a public market or allocate it to their preferred Transport vendor. We do not evaluate the appropriateness, regulatory compliance, legality, quality, and ability of any Shipper or any shipped products using our website, and we also do not give any warranty of such.

If you register with Prime Engine Go, use, and access our service, it means you consent to our Terms of Service, on behalf of yourself and the organization that you represent, and this means you have the authority and ability to do so on behalf of yourself and organization that you represent. We do not allow users who are not at least 18 years old to use our services.

By using our website, you consent that you have read and accepted our terms of use, including the policies and conditions associated with or otherwise referenced here, all of which are therefore incorporated into Prime Engine Go Terms of service.

In case you disagree with our terms of use, you should not use our website and other associated platforms, in which case you will not be able to use or access our services.

TERMS DEFINITION

a) Prime Engine Go

Prime Engine Go is licensed in UAE under the Dubai Economic Department. Prime Engine Go sole commitment is to organize the transportation of freight by a Transporter that is fitting and approved to work by all relevant legislative organizations.

As a freight broker, Prime Engine Go does not collect, control, or take custody of any freight. Prime Engine Go does not accept any risk, commitments, and accepts no financial accountability at all, for freight, including robbery, loss, harm, or delivery delayed thereof.

Prime Engine Go offers web and mobile application platform to interface Shippers and Transporters, and yet doesn't give actual transportation services in any capacity as a Transporter. It is the Transporter’s responsibility to provide transportation services, which might be booked using our web or mobile application. Prime Engine Go does not reserve any obligation regarding transportation services given to you as a Shipper by any Transporter.

b) User

A User is any person or business and can be a Shipper or a Transporter.

c) User information or content

User Content means any information (including data, textual, attachment, audio, and visual content, commentary, and feedback) related to Prime Engine Go service, ratings, reviews, and other content that a User submits to, or uses with, the service. User Content includes the information provided in a Shipment request or acceptance.

Prime Engine Go and the User are independent contractors, except to the extent which the law allows, no agency, partnership, joint venture, employee-employer, and this Agreement creates a franchisor/franchisee relationship.

d) Transporter

A Transporter who uses our website means a truck owner or truck aggregator, and they are an independent entity and remain exclusively liable for training, selecting, recruiting, supervising, assigning, overseeing, and dispatching its drivers and for the maintenance and inspection of its vehicle accessories and equipment.

Each Transporter is exclusively liable for its exclusions, preparing, actions, oversight, consistency with administrative and safety prerequisites, and all management of Transporter's equipment, drivers, contractors, workers, servants, and specialists.

Based on strategies and results through which a Transporter carries its freight transportation services, it maintains its obligation to give and retains, manage, and run the equipment, expertise, and personnel necessary to transport your freight. Prime Engine Go is not a representative of any Transporter, and no Transporter is a representative of Prime Engine Go. We are not responsible for any Transporter and transportation services given to any Shipper and any other third-party through our services.

e) Shipper

You warrant that you possess, own, and in any case, have privileges to ship freight, you look to transport provided by Prime Engine Go.

SHIPMENT REQUESTS

Prime Engine Go offers web and mobile platform through its Site or other web or mobile channels, where Shipper can post Shipment’s proposal.

Details required as a part of shipment request include: a) Shipment origin and destination addresses

b) Shippers and consignee details

c) requested dates for Shipment pickup and drop-off

d) Shipment description e) precise equipment requirements

f) any other details needed for the proper and secure freight transportation.

Prime Engine Go will not be liable for any terms between Shipper and any Transporter for shipment. Once Prime Engine Go agrees with a posting of delivery, the Shipment's information will be posted on the Prime Engine Go platforms.

Through our Site, Transporters can view the Shipments list and accept shipment at any time they want. On acceptance of a Shipment, the Transporter will be assigned the Shipment transportation. Upon a Transporter's acknowledgment, Prime Engine Go will inform Shipper that the shipment has been accepted and subsequently Prime Engine Go would provide update of all Shipments through the platform notification.

DELIVERY PROOFS

At the end of a Shipment, Transporter confirms delivery, closes the shipment and Prime Engine Go confirms the receipt electronically through multiple data source through the trip.

Digital provision of Shipment Docket, Trip Report, Proof of Delivery on Prime Engine Go web, and mobile application platform will in no way change or place any legal and contractual liability on Prime Engine Go, nor does Prime Engine Go absolve the Transporter’s duties and obligations under this Agreement.

RESPONSIBILITIES

a) Warranty and Representations.

You warrant and represent the following as Prime Engine Go User:

• You will not use services offered by Prime Engine Go to transport illegal freight or product 
• You are exclusively accountable for obtaining applicable insurance to cover any anticipated freight loss according to the law.
• The transporter will not breach hours of service regulations as provided in your pickup and delivery dates and time.
• You are responsible to ensure all information posted on our platform is true at all times.

b) Status Verification

Most Shipment status are digitally verified, and it is mandatory at all times to update the status of the Shipment for enhanced visibility and payment calculations.

c) Description and Disclosure of Shipment Process

You shall disclose all information reasonably necessary in the process of transportation in compliance with applicable legal, regulatory, and industry standard. You are also responsible for giving accurate details of Shipment update without any limitation.

d) Shipping Documents

Prime Engine Go does not allow any party to put Prime Engine Go’s name on any, invoice, lading bill, or other shipping documents. If you do so, such addition will be for your ease and shall not be to modify Prime Engine Go status as a Broker to a Transporter. All document related to the Shipment is digitally generated for the ease of the users.

The digital document provisions set out to be utilized by users shall not change or adjust any Term of use or add any obligation or duty to Prime Engine Go.

e) Compliance with UAE Law

Transporter accepts that it is allowed to give transportation of any requested shipment through Prime Engine Go service as a for-hire transporter in compliance with all required regulations and laws. Transporter warrant and represent that they are registered as a Transporter of material goods within the needed jurisdiction by law.

COMMUNICATION SERVICES

By using and accessing Prime Engine Go services, you consent to receive emails, phone calls, SMS, and push notifications from our Vendors, which can be generated by an automatic telephone dialing system. Communications include but not limited to permissions request, informational content about our services, updates, and promotional or advertising messages.

You understand and agree that your permission to receive such communications is not a guarantee of any services. You may not opt-out of text messages or email communications from Prime Engine Go as these are needed for your notification on service delivery. You may however opt-out of newsletters communications and promotional emails from Prime Engine Go any time by clicking unsubscribe feature in the email and following instructions prompted.

TERMS OF PAYMENT

Transporters are required to give early notice of ancillary services if they plan to charge extra fees. In any case, advance notice isn't generally conceivable or practical, and Prime Engine Go will most likely be unable to get and inform your matched Shipper about requests for approval of extra cost before the services are rendered. All payouts would be as stated on the load card unless there are other charges incurred during the Shipment process.

Services such as Scheduling of contracted vendors by Shippers which is free of cost would remain unchanged except a change in business strategy by Prime Engine Go which would be communicated to all its users in due time before the policy implementations. All associated cost of Shipment in this case is borne by the Shipper and drawn from contract rate between Shipper and Transporter. Once the payment is made, the confirmation notice will be sent to the client via email within 24 hours of receipt of payment.

• Visa or MasterCard debit and credit cards in INR will be accepted for payment
• We will not trade with or provide any services to OFAC (Office of Foreign Assets Control) and sanctioned countries in accordance with the law of UAE
• Customer using the website who are Minor /under the age of 18 shall not register as a User of the website and shall not transact on or use the website
• Cardholder must retain a copy of transaction records and Merchant policies and rules
• User is responsible for maintaining the confidentiality of his account

DELIVERY/ SHIPPING POLICY

All the shipping processes our done by courier, all over GCC. Delivery charges might vary according to the destination and pickup size. A payment transaction is made by order. The duration of the courier can be covered within 24 Hours. We do not accept multiple bookings or orders.

REFUND  POLICY

• a. Prime Engine Go shall confirm and initiate the execution of the transaction initiated by Users upon receiving confirmation from Users for the same. If Users wish to cancel a transaction on the Platform, they shall select the cancel option on the Platform. It is to be noted that Users may have to pay a cancellation fee for transactions initiated on the Platform for which work has already been commenced by the Delivery Partner or the shippers, as the case may be. With respect to work commenced by shipper, the cancellation fee will be charged to such Users which will be in accordance with the cancellation and refund policies of such shippers.
• b. Prime Engine Go may cancel transactions initiated by Users on the Platform, on the instructions of the Shippers if :
   
  • The designated address provided by Users is outside the service zone of the shippers.
  • There is no User response via phone or any other communication channel at the time of confirmation of the order booking.
  • The transaction involves supply/delivery/purchase of any material good that is illegal, offensive or violative of the Terms of Use.
  • The User is not physically present or is unreachable once the carrier reaches the designated delivery location, for a period in excess of fifteen (15) minutes. Information, instructions, and authorizations provided by Users are not complete or sufficient to execute the transaction.
  • If any shippers’ outlet is closed.
  • If a Delivery Partner is not available to perform the services.
  • If the transaction cannot be completed for reasons, not in the control of Prime Engine Go.
     
• d. All decisions with respect to refunds will be at the sole discretion of Prime Engine Go and in accordance with Prime Engine Go’s internal refund policy and the same shall be final and binding. All refunds initiated by Prime Engine Go shall be refunded to the financial source account from which Users have initiated the transaction on the Platform.

CANCELLATION POLICY

Delivery Tasks are not entitled to be canceled once the courier has been picked up. Cancellation post confirmation shall be subject to a cancellation fee as indicated to you on the Platform.

Scheduled orders - Customer can cancel their order within 24 hours; refunds will be made back to the payment solution used initially

by the customer. Please allow for up to 45days for the refund transfer to be completed.

REFERRAL AND PROMOTIONAL PROGRAMS

• Transporters earn direct deposit as their referral program grows.
•  All referral points are credited into the Prime Engine Go wallet after the execution of the first transaction from the referred and are only utilized when the Transporter engages in a transportation service.
• All points earned per referred is redeemed per Shipment transaction.
• Referral points are only applicable to the first transaction of the referred.
• Referrals may be discontinued by Prime Engine Go at any time for any reason without liability to Prime Engine Go. Prime Engine Go reserves the right to deduct or withhold credits or benefits obtained through the use of the referral system or Promo Codes by you or any other User in the event that Prime Engine Go determines or believes that the use of the referral system or redemption of the Promo Code was in error, fraudulent, illegal, or otherwise in violation of Prime Engine Go’s Terms.

ACCESS

Prime Engine Go reserves authority to deny services, close accounts, alter the content and cancel orders in its sole carefulness. We reserve all authority to correct and withdraw any services we offer on this Site, at our discretion without notice. We will not be liable for any conditions at all, or any part of the Site that is inaccessible at any period.

Prime Engine Go may limit access to certain parts of the Site from time to time, or the whole Site, to anybody. We additionally have the authority to impair any account, password, username, or other identifiers, regardless of whether picked by you or given by us, whenever in our sole discretion for any or no explanation, including if, as we would see it, you have disregarded any conditions of Prime Engine Go Terms of Service.

USER CONDUCT AND REQUIREMENTS

Prime Engine Go services are prohibited for individuals under the age of 18 years. Users cannot allow third parties to use their account or allow persons less than 18 years to receive transportation services from third-party providers unless you accompany them. Transporters cannot transfer or assign your account to another entity or individual. The User also consents to comply with applicable regulation and laws when accessing Prime Engine Go services and agrees to use our services for legal purposes only.

DEVICES AND NETWORK ACCESS

You are liable for having the data network access that is compatible with our services and updating your devices for easy access to Prime Engine Go services. Messaging costs, charges, and mobile network data may apply when you use your device to access Prime Engine Go services.

Prime Engine Go does not guarantee the User that our services will work on any particular device. Also, Prime Engine Go services might be subject to delays and malfunctions associated with the use of electronic and internet communication.

INSURANCE

You are responsible to maintain and ensure that your insurance is valid all times in line with your defined profile insurance during registration through the period of using our services. You are also responsible to update and notify Prime Engine Go of any changes to your associated insurance within three days. Prime Engine Go liability or responsibility to Shipper or Transporter will be constrained to Prime Engine Go privacy policy protection and as per this Terms of Service.

LICENSE

In compliance with our Terms, Prime Engine Go gives you a limited, revocable, non-sublicensable, non-exclusive, non-transferable license to:

• access and use the Site exclusively in connection with your use of the Prime Engine Go Services
• access and use of any details, content, and related materials that might be made available through Prime Engine Go services, in each case solely for your personal, noncommercial use. Any rights not particularly approved in this Agreement are reserved by Prime Engine Go licensors.

CHANGES TO THE AGREEMENTS

We have the authority to change or alter these Terms whenever and at our sole discretion. We will give notice whenever we make any changes to our website by posting a notice on our Site and updating the "Last Updated" date above. Your persistent use of the Prime Engine Go Site following the posting of changes or alterations will affirm your acknowledgment of such changes or adjustments. If you disagree with the altered Terms, you should quit using our Site.

APPLICABLE LAW

Except for or else stated in Prime Engine Go Terms, your use of Prime Engine Go services is governed by UAE laws and shall be interpreted, in the event of a dispute arising hereunder, under the laws of UAE. This is Subject to any dispute arising in this Agreement, without a view to its option of principles of law.

In case of any party’s litigation towards the Prime Engine Go Agreement, the parties agree to offer to the individual and limited authority for such action in the UAE Court.

GCC REGULATIONS

In case you transport freight to, from, or through Gulf Cooperation Council (GCC) member state, you agree that you are compliant with GCC member state laws and regulations. You will inform us through our Site within three days of any adjustment in your compliance position.

OWNERSHIP

All services and privileges covered in this Agreement shall and will be Prime Engine Go property. Neither your use of our services nor this Agreement gives you any privileges to use any Prime Engine Go logos, names, service names, marks, and trademarks.

PROHIBITED USES

You may only use the Prime Engine Go just for legal purposes and as per the Terms. You consent not to use the Prime Engine Go Site:

1. In any way that disregards any state, international, local, and federal laws, and guidelines of the UAE
2. To transmit, or acquire the sending of, any publicizing or promotional material without our prior written assent.
3. To imitate Prime Engine Go, our workers, another client, or some other individual or business, including, without constraint, by using email addresses, phone numbers, or screen names related to any of the prior, or in any case submitting false data.
4. To participate in whatever other lead that limits or hinders anybody's use or satisfaction of the Site, or which, as controlled by us, may harm Prime Engine Go users.

USER ACCOUNT

You are in charge of safeguarding your password and account information on our Site. You are also liable for limiting access to your access devices used on Prime Engine Go, and you consent to acknowledge duty regarding all exercises that happen under your account.

Prime Engine Go and any of its content providers guarantee the accessibility, and completeness, of location information showed by our website, regardless of whether given by Prime Engine Go, third party providers, and Prime Engine Go users.

INDEMNITY

a) Prime Engine Go Indemnification

b) Indemnification of Transporter

Through Prime Engine Go Terms which apply to Shipper, Shipper consent to indemnify and hold the Transporter and your officials, representatives, and agents harmless, including expenses and attorneys’ fees, from all harms, cases, and loss emerging out of its presentation of our Terms of Use, to the degree such damages, claims or loss are caused by the carelessness of the Shipper workers' or operators'. However, Transporter’s indemnification under this paragraph will not apply to the extent that any claim is directly and indirectly caused by the negligence or other wrongful conduct of the party to be defended, indemnified, or held harmless. Transporter hereby waives any exclusive indemnity to the extent necessary to execute Transporter’s obligations under this provision.

DISPUTE RESOLUTION

In the event of any dispute arises as a result of this Terms, or the termination, enforcement, interpretation of the services, Disputes shall be exclusively settled through binding and confidential arbitration between you and Prime Engine Go. This agreement requires the use of arbitration on an individual basis to resolve disputes, rather than jury or class actions, and also limits the remedies available to you in the event of a dispute.

Arbitration shall be administered under Arbitration Rules 2007 before an experienced commercial arbitrator from the Dubai International Arbitration Centre (DIAC). Arbitration proceedings shall be conducted at such place as mutually agreed upon in writing by the parties. Each party is entitled to a fair hearing, and the arbitration procedures are simpler and limited than rules applicable in court. Arbitrator decisions are binding and final and enforceable as any court order. The prevailing party shall be entitled to recovery of costs, expenses, and reasonable attorney fees as well as those incurred in any action for injunctive relief, or in the event further legal action is taken to enforce the award of the arbitrator.

Prior to the arbitration process, initiating party agrees to notify the other party in writing of any dispute and to proffer negotiation through informal resolution. Any party who desires to initiate arbitration must provide the other party with a written Demand for Arbitration in accordance with the DIAC Rules. All notice to Prime Engine Go must be sent to: Prime Engine Go - powered by Nimble Beez Information Technology LLC, Attn: Legal Department, Dubai, UAE. A copy should be sent by electronic mail to Legal.info@Prime Engine Go.com. Neither party shall initiate arbitration until 30days after the notice is sent.

Each party may also proceed to bring individual actions in small claims court where reasonably expected damages are less than AED20,000.

Except as provided in the preceding sentence, this "Dispute Resolution" section will survive any termination of these Terms. This section does not apply to claims you may have against a Transporter.

DISCLAIMER

You comprehend that we cannot and do not guarantee or warrant that data or records downloaded from the Prime Engine Go Site will be free from viruses or other damaging code. You are answerable for executing adequate methods and checkpoints to fulfill your specific prerequisites for accuracy of the information and anti-virus protection input and output.

We are not associated with the transportation of freight; therefore, we have no power over the quality and safety of any vehicle, freight transportation that happens because of our service, neither do we have any control over the accuracy of clients' data recorded on Prime Engine Go. LIMITATION OF LIABILITY

In no occasion will Prime Engine Go or Shippers or Transporter or third parties given data on this Site or through different channels, including however not restricted to, telephone and email, be obligated to you or any client of the locales or some other individual or business for any immediate, incidental, uncommon, consequential, or cause harm out of the use or inability to use the Prime Engine Go website or any data contained in it, including Client created content, regardless of whether dependent on warranty, Agreement, tort, or something else, regardless of whether Prime Engine Go has been educated concerning or ought to have known about the chance of such harms.

You, therefore, recognize that the first restriction on risk will apply to all User-generated content, items, and services accessible through the website or different channels related to Prime Engine Go.
